Confidential information means all data provided or shown by one party to the other, orally or in writing, in any form. Publicly known information and information lawfully obtained without an obligation of confidentiality are excluded.
Both parties undertake to keep confidential information strictly secret. The information is used only for the purpose for which it was provided and not disclosed to third parties without prior written consent.
Confidential information is shared only with personnel who need to know it for the cooperation. Both parties ensure their personnel are bound by the same confidentiality obligation.
This agreement is effective from the date of signing and ends 24 months after the cooperation ends. The confidentiality obligation remains in force after this period to the extent reasonably necessary.
Dutch law applies to this agreement. Disputes are submitted in first instance to the competent court in Amsterdam, unless the parties agree otherwise in the meantime.
